Welcome to ShakenHike. These Terms & Conditions (“Terms”, “Agreement”) govern your use of our website www.shakenhike.com and the services provided by ShakenHike Digital Marketing Agency (“ShakenHike”, “we”, “our”, “us”).
By accessing our website, requesting a quote, or engaging our services, you (“Client”, “User”, “you”) agree to be bound by these Terms. If you do not agree, please do not use our website or services.
1. Services
- Search Engine Optimization (SEO)
- Meta Ads, Google Ads, and paid media management
- Social media marketing
- Web development (WordPress, Shopify, React, Laravel)
- UI/UX and graphic design
- Hire Team / dedicated resource services
2. Use of Our Website
By using our website, you agree to:
- Use the site only for lawful purposes
- Not attempt to gain unauthorized access to any part of the site or its systems
- Not interfere with the website’s functionality, security, or other users’ experience
- Not copy, scrape, or republish content without written permission
- Not use automated tools (bots, crawlers) without authorization
We reserve the right to restrict or terminate access to any user who violates these conditions.
3. Quotes, Proposals & Engagements
All quotes and proposals are valid for 30 days from the date of issue unless otherwise stated. Engagement begins only after:
- A signed proposal, contract, or statement of work is in place
- The agreed advance payment is received
- Project requirements and deliverables are documented
Verbal agreements, email approvals without written contracts, or pending payments do not constitute a binding engagement.
4. Payment Terms
Unless otherwise specified in a separate agreement:
- Project work: 50% advance, 50% on delivery
- Monthly retainers: payable in advance, before the start of each billing cycle
- Hire Team: monthly upfront, with a minimum 3-month commitment
- Ad spend (for paid media campaigns) is billed separately and paid directly to advertising platforms or reimbursed to ShakenHike
All payments are in INR for Indian clients and USD or equivalent for international clients. Applicable taxes (GST in India, VAT, etc.) will be added where required.
Late payments may incur interest at 1.5% per month or the maximum allowed by law, and may result in suspension or termination of services.
5. Refund & Cancellation Policy
Once a project is initiated, advance payments are non-refundable. However, we operate fairly:
- If we cannot deliver due to our fault, you receive a pro-rata refund for undelivered work
- Monthly retainers can be cancelled with 30 days’ written notice
- Hire Team contracts require 60 days’ written notice after the initial 3-month period
- Setup fees, audit fees, and one-time charges are non-refundable
Refund disputes will be resolved in good faith. If unresolved, they will be handled per Section 12 (Governing Law).
6. Client Responsibilities
To ensure timely delivery, you agree to:
- Provide accurate business information, brand assets, and content as requested
- Respond to communications and approval requests within 3-5 working days
- Provide necessary access to platforms (Google Ads, Meta Business Manager, hosting, CMS, etc.)
- Make timely payments per the agreed schedule
- Ensure all content and materials you provide do not infringe third-party rights
Delays caused by client-side dependencies (missing content, late approvals, payment delays) may shift timelines and are not the responsibility of ShakenHike.
7. Intellectual Property
Ownership and rights are handled as follows:
Client-Owned: All deliverables (websites, designs, written content, ad creatives) become the property of the client upon full payment, except for third-party assets, stock images, fonts, plugins, and frameworks that retain their original licenses.
ShakenHike-Owned: Our internal processes, methodologies, frameworks, templates, code libraries, and pre-existing IP remain the property of ShakenHike. We retain the right to reuse generic code, design systems, and approaches across multiple clients.
Portfolio Rights: Unless explicitly agreed otherwise in writing, ShakenHike reserves the right to display completed work in our portfolio, case studies, social media, and marketing materials.
Clients warrant that any content, logos, or brand materials they provide are owned by them or properly licensed.
8. No Guarantees on Marketing Results
Digital marketing results depend on factors outside our control, including search engine algorithms, market conditions, competition, and client cooperation. While we use industry-best practices and our methods are proven, ShakenHike does not and cannot guarantee:
- Specific keyword rankings on Google or other search engines
- Specific traffic volumes, leads, sales, or revenue figures
- Performance on third-party platforms whose policies and algorithms we don’t control
- Outcomes affected by client-side issues (website downtime, content delays, payment lapses)
Any forecasts, projections, or estimates provided are based on industry benchmarks and historical data – not promises.
9. Confidentiality
Both parties agree to keep confidential any non-public information shared during the engagement, including business strategies, client lists, financial data, login credentials, and proprietary processes.
This obligation continues for 2 years after the engagement ends. Confidential information does not include data that is publicly available, independently developed, or required to be disclosed by law.
10. Limitation of Liability
To the maximum extent permitted by law:
- ShakenHike’s total liability for any claim arising from our services is limited to the total amount paid by the client in the 3 months preceding the claim
- We are not liable for indirect, consequential, incidental, or special damages, including loss of profits, business, data, or goodwill
- We are not liable for damages caused by third-party platforms, external service providers, or events outside our reasonable control (force majeure)
This limitation applies regardless of the legal theory under which liability is asserted.
11. Termination
Either party may terminate the engagement:
- With 30 days’ written notice for monthly retainers
- With 60 days’ written notice for Hire Team contracts (after initial 3-month period)
- Immediately, in case of material breach, non-payment, or unethical conduct by the other party
Upon termination, the client will pay for all work delivered up to the termination date. ShakenHike will hand over completed deliverables, accesses, and any agreed transition support.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising from these Terms or our services will first be attempted to be resolved through good-faith negotiation.
If unresolved, disputes will be subject to the exclusive jurisdiction of the courts in Ahmedabad, Gujarat, India.
For international clients, this jurisdiction clause is binding unless overridden by a separately signed master service agreement.
13. Third-Party Services
Our services often involve third-party platforms (Google, Meta, hosting providers, payment gateways, etc.). We are not responsible for outages, policy changes, account suspensions, or issues caused by these third parties.
Clients are responsible for maintaining their own accounts, billing, and compliance with the terms of those platforms.
14. Force Majeure
Neither party will be liable for failure to perform obligations due to events beyond reasonable control, including natural disasters, war, pandemics, government actions, internet outages, or third-party service disruptions.
15. Changes to These Terms
We may update these Terms from time to time. The “Last Updated” date at the top of this page reflects the most recent revision. Continued use of our website or services after changes constitutes acceptance of the updated Terms.
For active clients, material changes will be communicated via email.
